Welcome to Dem Sugar Creative Branding ("we," "our," or "us"). We believe the best creative work happens when boundaries are clear, transparent, and built on mutual respect. This Terms & Conditions document ("T&C") serves as a binding agreement governing your access to www.demsugar.co and outlining exactly how we work together to bring your brand to life. By accessing our site or engaging our multidisciplinary services, you acknowledge and agree to be bound by these terms. Please read them carefully, they are designed to protect your creative investment just as much as our business.
We want to make sure you get exactly what you envision, which is why we’ve structured our design process to be highly collaborative. Depending on the partnership model you choose, here is how we handle your requests and revisions:

The Sweet Tooth Package (One-Time Projects): This package is designed for specific, isolated projects. To keep your project moving efficiently, it includes up to three (3) rounds of revisions. At each major stage of the design process, we will provide you with multiple options to choose from, ensuring we are perfectly aligned before moving forward.

Golden Granules & Sugar Rush Packages (Subscriptions): Our subscription models are designed to act as your on-demand design department. You may submit an unlimited number of design requests to your Notion dashboard at any time. To maintain agency-grade quality, we ask that you clearly communicate the priority order of these requests. Please keep in mind that the more concurrent requests you have active, the longer the overall delivery timelines may be. As long as your subscription remains active, you are entitled to unlimited revisions on your designs.

Project Timelines: Standard delivery times vary depending on the complexity of the request (e.g., a social media graphic versus a full WIX website build) and will always be clearly estimated and agreed upon before work begins. We pride ourselves on efficiency, but meeting these deadlines is a team effort and requires timely feedback and approval from your side.

We believe in absolute transparency when it comes to your investment. To keep our core design packages as accessible as possible, certain third-party expenses are not included in our agency fees and are the responsibility of the client.

Platform & Licensing Fees: WIX premium hosting plans, custom domain purchases, ongoing website maintenance, and premium font licenses are not included in our package prices. You will maintain full ownership and billing responsibility for your WIX hosting and domains. If a specific premium font is recommended for your brand identity, we will always ask for your approval to purchase the license before integrating it.

The "Need It Yesterday" Rush Fee: We understand that sometimes you need creative magic to happen overnight. While we always outline standard delivery timelines before any work begins, if you require an expedited turnaround to hit a tight deadline, we can activate our priority workflow. Depending on the urgency, a 25% to 50% Rush Fee will be applied. To keep things fair, this fee is calculated based on the final discounted total of your project, not the initial base price.

Great design is a mutual commitment of time, energy, and resources. To secure your spot in our schedule and allow our team to dive fully into your project, we require a 50% upfront deposit on all packages before any work officially begins. All payments are processed securely through Stripe.

The Final Payment: The remaining 50% balance is due upon completion of the project, right before the handover of your final, unwatermarked files.

The Satisfaction Clause: We pour our creative energy into your brand, which is why your initial 50% deposit is strictly non-refundable once work begins. However, if we reach the end of our process and you are truly unsatisfied with the direction—despite our collaborative revisions—we will waive the final payment. Please note that releasing the final payment acts as your official stamp of approval. Once that final payment is made, it confirms you are completely satisfied with the deliverables, and the project is disqualified from any refund requests.

We love what we build for you, but ultimately, it is your brand. Here is how we handle ownership and showcasing the final product:

Ownership Transfer: During the design and development phases, Dem Sugar retains all copyrights and intellectual property rights to the working concepts. However, the moment your final payment is cleared, full intellectual property rights to the approved final designs are officially transferred to you. This includes the complete handover of your raw, editable source files.

Showing Off Our Work: We are incredibly proud of the partnerships we build and the creative work we produce. Dem Sugar reserves the right to display the completed projects across our physical and digital portfolios, including our website and social media channels. We deeply respect your business, so we will always work collaboratively with you to ensure no sensitive, unreleased, or confidential information is ever compromised when we highlight our collaboration.

We know that business moves fast and plans can change. We aim to be as flexible as possible while still protecting the time our team has reserved for your brand.

The 24-Hour Grace Period: We want you to feel completely confident in our partnership. After paying your initial deposit, you have a 24-hour grace period. If you need to back out or change your mind within this specific window, we will issue a full refund, no questions asked.

Hitting Pause: If you are on an active Golden Granules or Sugar Rush subscription and need to temporarily halt work, you can pause your subscription securely via Stripe. We allow projects to be paused for a maximum of six (6) months.

Cancellations & Forfeiture: If your subscription or project remains paused beyond the 6-month mark without a requested and approved extension, the project will be officially cancelled. In this event, your initial deposit will be forfeited. This policy ensures we can accurately manage our agency's bandwidth and serve all our active clients efficiently.

We pride ourselves on delivering top-tier digital design, but we also operate in an unpredictable digital landscape. To protect both of our businesses, the following disclaimers apply:

Third-Party Platforms: We build your digital assets using reliable third-party platforms like WIX, Notion, Stripe, and Google. Dem Sugar is not responsible or liable for any downtime, data breaches, feature changes, or losses caused by these external platforms.

Business Outcomes: While our branding and UI/UX designs are strategically crafted to elevate your business, we do not guarantee specific financial outcomes, sales metrics, or guaranteed search engine rankings. Our services are provided "as is," and your business success ultimately depends on your own market execution.

Liability Cap: To the maximum extent permitted by applicable law, Dem Sugar’s total liability for any claims, damages, or losses arising from our partnership shall be strictly limited to the total amount you have paid us for the specific project or active subscription period in question. We are not liable for any indirect, incidental, or consequential business damages.

We love working with clients globally, but our roots are in Dubai. These Terms & Conditions are governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law principles.
We view our clients as partners, and our goal is always to find a fair solution. Should a disagreement arise, here is how we will handle it:

Informal Resolution First: If you have an issue, you agree to contact us directly to attempt to resolve the dispute informally before pursuing other avenues. We promise to come to the table ready to talk it out.

Binding Arbitration: If we are unable to resolve a dispute through informal negotiations, either party may elect to have the dispute finally and exclusively resolved by binding arbitration. This arbitration will be conducted in the United Arab Emirates.

Exceptions for Intellectual Property: Notwithstanding the above, Dem Sugar may seek injunctive or other equitable relief to protect its intellectual property rights in any court of competent jurisdiction. If our work is used without permission or before final payment, we retain the right to take immediate legal action.

No Class Actions: You agree that any arbitration or court proceeding shall be limited to the dispute between us and you, individually. To the full extent permitted by law, no arbitration or legal proceeding will be joined with any other; there are no class arbitrations or class actions.

We value mutual respect in all our partnerships and pour our energy into the clients we work with. To protect our team and our creative environment, Dem Sugar reserves the right to suspend or terminate your access to our services, subscriptions, or website at our sole discretion, without prior notice, if you breach this agreement.
A breach of this agreement includes, but is not limited to:

Illegal or Fraudulent Activity: Requesting the use of stolen, unlicensed, or copyrighted assets, using our designs and services to promote illegal activities or scams, or engaging in financial fraud.

Non-Payment: Failing to make timely invoice payments or attempting to reverse a non-refundable deposit.

Intellectual Property Violation: Using, altering, or distributing our design concepts before the final payment has been made and the IP rights have officially transferred.

Abusive Behavior: Any form of harassment, disrespectful communication, or hostile behavior toward the Dem Sugar team.

Project Abandonment: Failing to respond to project communications or provide necessary feedback for more than 30 consecutive days (unless a formal subscription pause has been activated via Stripe).
If your account or project is terminated due to a breach of these terms, any outstanding deposits are strictly non-refundable, and we reserve the right to seek compensation for the unpaid time and resources already dedicated to your project.

To keep our working relationship clearly defined and ensure this agreement remains fully operational under any circumstances, the following standard provisions apply:

Severability: If a court, arbitrator, or governing body decides that a specific clause or provision within these Terms is invalid, illegal, or unenforceable, that single provision will be severed (removed) or modified to match our original business intent as closely as legally possible. The rest of this agreement will not be affected and will remain in full force and effect. We won’t let one invalid sentence tear down the entire contract.

No Waiver of Rights: If we decide to give you a little extra grace on a deadline, or if we delay in enforcing any of our rights, rules, or remedies under these Terms, that does not mean we are giving up our right to enforce them later. A delay or a moment of leniency is not a surrender of our boundaries.

Written Exceptions Only: If we do explicitly waive a breach of this agreement (for example, making a one-time exception to our revision limits), that waiver will only be legally valid if it is provided to you clearly in writing. Furthermore, waiving a rule for one specific instance does not mean we are permanently waiving it for the future.

Cumulative Rights: All rights and remedies provided in these Terms & Conditions are cumulative, meaning they are in addition to any other rights or remedies provided by law.

We take your digital privacy as seriously as your digital branding. Because we partner with clients globally—from our base in the UAE to North America, Europe, and beyond—we are committed to adhering to strict international data protection standards.

How We Use Your Data: Any personal information, business data, or confidential project details shared with Dem Sugar are used strictly for communication, billing, and executing your design requests. We will never sell, rent, or trade your data to third parties.

Trusted Partners: We utilize industry-leading, secure platforms to run our agency (such as Stripe for secure payments, Notion for project management, and Google Workspace). These platforms maintain their own rigorous compliance standards to ensure your information remains encrypted and secure.

Global Regulations (GDPR, PIPEDA & UAE Law): Whether you are protected by the General Data Protection Regulation (GDPR) in the European Union, the Personal Information Protection and Electronic Documents Act (PIPEDA) in Canada, or local UAE privacy regulations, we respect your right to access, correct, update, or request the deletion of your personal data at any time.

If we make a major change that impacts how we work together, we will do our best to notify our active clients directly. However, we also encourage you to review this page periodically. Your continued use of our website or services after any changes are posted simply means you accept and agree to the updated rules of our partnership.
